Terms of Service

1. Status of these terms

DRAFT FOR LEGAL REVIEW — NOT YET EFFECTIVE. This is a proposed version published so that members, parents and studios can read it before it is finalized. It has not been reviewed or approved by an attorney and it does not replace the version currently in force.

When a new version is activated, POIZ records it with a version number and content hash and asks affected users to accept it before continuing with sensitive actions.

2. Agreement and what it includes

By creating an account, signing in or using POIZ you agree to these terms. If you do not agree, do not use POIZ.

These terms incorporate the Privacy Policy, the Community Guidelines, the Parents & Guardians notice, any Official Rules published for a competition or challenge, and the purchase terms shown at checkout. Where a competition's Official Rules conflict with these terms about that competition, the Official Rules control for that competition only.

You agree to contract electronically. Clicking to accept, signing electronically, or continuing to use POIZ after a change takes effect has the same legal force as a written signature, to the fullest extent permitted by law.

3. Who can use POIZ

POIZ is designed to support dancers across age groups, subject to applicable law, guardian consent requirements and feature restrictions. The information you give about your age must be accurate.

For children under 13 in the United States, collection, use and disclosure of personal information is subject to the Children's Online Privacy Protection Act, including verifiable parental consent where it is required. ACTIVATION REQUIREMENT — POIZ must complete its COPPA signup and verifiable-parental-consent audit before these terms can be activated, and this document does not promise that a child under 13 may create or use an account before that work is complete.

Every account whose date of birth indicates the person is under 18 runs in a restricted state. A parent or legal guardian must receive POIZ's consent notice, complete the required confirmations and sign it electronically before that account can post, upload, message, take part in training, compete, make payments or earn rewards. A minor's own statement that a parent knows they are here is not sufficient and does not unlock those actions.

If you complete a guardian consent, you represent that you are the parent or legal guardian of that child and that you have the legal authority to give consent on their behalf.

You may not create an account for someone else without authority, misstate an age or date of birth, use another person's account, or circumvent, disable or evade any age, consent, safety or moderation control.

POIZ may suspend or close an account when it has a reasonable basis to believe the age or guardian information is inaccurate.

4. POIZ Network and POIZ HQ accounts

POIZ Network is the public, community side of POIZ: profiles, discovery, combos, training, challenges and rankings.

POIZ HQ is the business and operations side used by teachers, choreographers and studios to run rosters, classes, routines, communications, documents and payments. An HQ-only account is a business account: it does not need to create a public Network profile, is not listed as a Network member, and is governed by these terms plus any HQ plan terms shown at purchase.

A workspace owner or admin controls their HQ workspace. Access to workspace data comes from workspace membership and permissions, never from a stated role or intent alone.

5. Your account and security

Keep your sign-in credentials private, give accurate registration information and do not impersonate another dancer, teacher, choreographer, studio or brand.

You are responsible for activity that happens through your account, except to the extent the law says otherwise. Tell POIZ through the Support Center immediately if you believe your account has been accessed without your permission.

Accounts belong to the person who registered them and may not be sold, rented, shared or transferred without POIZ's written permission.

6. What POIZ is — and is not

POIZ is a technology platform. POIZ provides software; it does not deliver dance instruction, supervise physical activity or vouch for any user.

• POIZ is not your employer, talent agent, manager, booking agent or promoter.
• POIZ is not a dance studio, school, gym, camp, competition venue or physical-safety supervisor.
• POIZ is not a medical, physiotherapy, nutrition or mental-health provider, and nothing on POIZ is medical advice.
• POIZ is not an attorney, accountant, tax adviser, payroll provider or insurer for you or your business.
• POIZ is not a background-check company and does not verify any user's real-world identity, qualifications, credentials, insurance or criminal history unless a specific feature says it does.
• POIZ does not guarantee the identity, conduct, honesty or safety of any other user, studio, teacher or brand.

7. Dance, fitness and competition risk

Dance and physical training carry a real risk of injury. That risk includes serious injury, permanent disability, paralysis and death. Participation in anything you learn, practice, record or submit through POIZ is entirely voluntary and at your own risk.

A separate document, the Dance Activity Waiver & Assumption of Risk at /activity-waiver, sets out these risks in full. Where that document is in force and you have assented to it, it governs physical participation together with this section.

You are responsible for deciding whether an activity is medically suitable for you, for warming up appropriately, for training in a safe space with safe flooring and clear surroundings, for using suitable footwear and equipment, and for stopping immediately if anything feels unsafe or painful. Consult a qualified professional before starting or changing physical activity.

If you are a parent or legal guardian, you are responsible for supervising the physical activity of a child using POIZ, including choosing whether an activity is appropriate for that child.

Studios, teachers, venues and competition organizers may require their own waivers, releases and health forms. Those are agreements with them, not with POIZ.

TO THE FULLEST EXTENT PERMITTED BY LAW, POIZ is not responsible for injury, illness, disability or death caused by the inherent risks of physical activity, by your own choices, medical condition, fitness level or physical limits, by your space, floor, surface, footwear or equipment, by other participants, or by third-party or off-platform instruction, classes, rehearsals, auditions or venues.

Nothing in this section attempts to limit liability for gross negligence, recklessness, willful misconduct, fraud, a violation of law, personal injury caused by POIZ where the law does not allow limitation, or any other right that cannot be waived under applicable law.

8. Your content and the license you give POIZ

You keep ownership of the choreography, video, audio, photos, text and other material you upload or create on POIZ (your content).

You grant POIZ a worldwide, non-exclusive, royalty-free license to host, store, back up, cache, reproduce, transcode, re-encode, generate cover frames from, adapt for format and device, index, moderate, distribute and display your content, and to make it available to the audiences you choose, for the purpose of operating, securing, supporting and improving POIZ. This license lasts as long as POIZ hosts the content and continues afterwards only as needed for backups, legal retention, safety records and copies other users lawfully re-shared.

You represent and warrant that you hold the rights needed for everything in your content, including the music, the choreography, any recognizable people, any venue or location restrictions, any brand or logo, and any other performer appearing with you. If a minor appears in your content, you represent that you have the authority of that minor's parent or legal guardian.

ORDINARY UPLOAD IS NOT PROMOTIONAL CONSENT. The license above is operational only. Uploading, posting or publishing on POIZ is not consent to advertising, marketing or social-media promotion of you, and it is never a marketing or likeness license for a child. Promotional and social reuse of your media, display name or handle, voice or likeness is governed by a separate, optional Media & Social Reuse Release at /media-release, which only applies after you affirmatively grant it — or, for anyone under 18, after a parent or legal guardian grants it. Declining it does not limit ordinary use of POIZ or ordinary uploading.

You are responsible for keeping your own copies of your content. POIZ is not an archive or backup service.

9. Copyright, DMCA and repeat infringers

POIZ respects intellectual property rights and expects the same from its members. Do not upload choreography, music, video, images or other material you do not have the right to use.

If you believe material on POIZ infringes your copyright, submit a report through the Support Center that includes: your physical or electronic signature; identification of the copyrighted work; identification of the material and where it is on POIZ; your contact information; a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner. If your material was removed and you believe that was a mistake or misidentification, you may submit a counter-notification with the corresponding statements required by law.

POIZ terminates the accounts of repeat infringers in appropriate circumstances.

ACTIVATION REQUIREMENT — Reliance on the safe harbor in 17 U.S.C. § 512 requires a designated agent registered with the U.S. Copyright Office and published contact details. POIZ has not published designated-agent details, and none are invented here. Those details must be registered and published before this section is activated.

10. Community conduct and prohibited activity

Using POIZ means following the Community Guidelines, which form part of these terms. The following are prohibited without exception and may result in immediate termination and, where required or permitted by law, preservation of evidence and a report to the appropriate authorities:

• Any sexual exploitation or sexualization of a minor, grooming, child sexual abuse material, or sextortion.
• Non-consensual intimate imagery, including material that has been digitally created or altered to depict a person in an intimate or sexually explicit way without their consent.
• Human trafficking, or soliciting or facilitating commercial sexual activity.
• Harassment, bullying, stalking, threats of violence, hate speech or attacks on a protected characteristic.
• Doxxing or publishing another person's private information without permission.
• Fraud, scams, phishing, payment fraud, fake engagement or manipulated competition results.
• Impersonating a person, studio, brand or POIZ itself, or deceptive synthetic media presented as real.
• Encouraging dangerous activity, self-harm or suicide.
• Distributing malware, scraping, or attacking, overloading or probing POIZ systems.
• Evading a suspension, ban, block, moderation decision, age control or guardian control.

11. Moderation and enforcement

POIZ may investigate suspected violations, preserve relevant evidence, limit distribution of content, add labels, remove content, restrict features, suspend or terminate accounts, remove competition eligibility, reverse or adjust XP, Coins, rankings or results, and cooperate with lawful requests from authorities or make reports required by law.

POIZ tries to act consistently and proportionately and generally applies an enforcement ladder, but severe violations — especially anything involving child safety — can result in immediate permanent removal without prior warning.

POIZ does not pre-screen all content and cannot guarantee that harmful content or conduct will be detected, prevented or removed before harm occurs. Nothing in these terms creates a duty to monitor every interaction.

12. Messaging and meeting other people

Direct messages, comments and other interactions are between users. You are responsible for what you send and for the decisions you make about who you interact with.

Under-18 accounts have restricted messaging and require guardian consent. A parent or legal guardian is responsible for supervising a minor's contact with other people.

POIZ does not organize, supervise or vet offline meetings, classes, auditions, rehearsals, bookings or travel arranged between users. To the fullest extent permitted by law, POIZ is not responsible for conduct that happens off the platform. Never arrange for a minor to meet someone alone.

13. Talent Map and location

Location fields such as city, region and country are provided by you and controlled by your visibility settings. Choosing to appear on the Talent Map means other people can see the general area you entered.

POIZ does not promise that a displayed location is exact, current or verified, and does not present a real-time precise position. Do not publish an address, a studio schedule or anything else that would let a stranger find you or a child in person.

14. Automated analysis and scoring

Some challenge and combo attempts are analyzed by automated systems that assess movement in your submitted video and produce a score or feedback. Automated analysis runs only after consent is given in the app. Training content is instructional and is never scored.

Automated analysis is probabilistic. It can be wrong, inconsistent, delayed or unavailable, and it is not professional coaching, medical, physiotherapy or safety advice. Do not rely on it as an assessment of technique safety.

POIZ may re-run, correct, withhold or adjust an attempt, score, ranking, XP award or Coin award to address fraud, abuse, technical failure, moderation outcomes or system integrity. Where a feature provides administrator or human review, POIZ records those adjustments in an audit trail.

15. Competitions, challenges, rankings and rewards

Competitions and challenges may have their own Official Rules covering eligibility, entry, deadlines, judging, prizes and disqualification. Those rules control that competition. Where a competition is a contest or sweepstakes, additional legal requirements may apply and will be stated in its rules.

POIZ may disqualify an entry or a participant for rule violations, fraud, manipulated results, ineligibility or Community Guidelines breaches. Judging and integrity decisions are final except where the applicable rules or the law provide a review.

Availability of any competition, challenge, ranking, feature, XP award or Coin award is not guaranteed and may change. Technical failures may prevent an entry from being received or scored.

Where a prize is offered, the prize details and any tax responsibility are stated in that competition's rules. Taxes on prizes are the winner's responsibility unless the rules say otherwise.

POIZ XP and POIZ Coins are in-product features with no stated cash value and no promise of redemption for money. They may be adjusted or removed for integrity reasons as described above.

16. POIZ HQ: business responsibilities

If you use POIZ HQ to run a studio, school, company or independent teaching business, you remain solely responsible for that business.

• Your own agreements with students, parents, staff and contractors, including tuition, cancellation and refund terms.
• Collecting and keeping your own waivers, medical forms, media permissions and guardian authorizations.
• Health, safety, supervision, staffing and child-protection practices at your locations and events.
• Employment, payroll, benefits, tax, insurance, licensing, accessibility and any other legal requirement that applies to you.
• The accuracy, lawfulness and appropriate use of roster, contact, attendance, medical, communication and payment information you enter about other people, including obtaining any consent required to enter it.
• The content of communications you send through HQ.

17. Subscriptions, payments and cancellation

POIZ Pro and POIZ HQ plans are recurring subscriptions. Before you pay, POIZ shows the plan, the price, the billing interval, any trial or promotional period and what happens when it ends. By subscribing you authorize POIZ and its payment processor to charge your payment method on the stated interval until you cancel.

Prices are shown in the currency displayed at checkout and may exclude taxes, which are added where required. POIZ may change prices for future billing periods and will give notice before a changed price applies to your renewal.

You can cancel online at any time from your billing settings, without calling or emailing anyone. Cancellation stops future renewals; access generally continues until the end of the period you already paid for.

California's Automatic Renewal Law (Business and Professions Code sections 17600–17606) requires clear pre-purchase disclosure of automatic renewal terms, affirmative consent to those terms, an acknowledgment you can keep, an easy online way to cancel, and notices for certain trials, renewals and price changes. POIZ presents these subscription terms directly above the purchase button, records your affirmative agreement to the exact plan, price and interval you were shown before any checkout session is created, and lets you cancel online from billing settings. Where a checkout or notice flow does not yet meet a requirement, the requirement controls over any contrary statement here.

Payments already charged are nonrefundable and POIZ does not provide prorated refunds or credits for unused time, except where a refund is required by applicable law or is expressly stated in a promotion or offer you accepted. Cancelling stops future renewals; it does not refund the period you are already in. Payments are processed by a third-party payment processor and POIZ does not store full card numbers. Nothing here waives a non-waivable right you have under applicable law.

These subscription terms cover recurring POIZ Pro and POIZ HQ plans. POIZ Store merchandise and one-time competition or event purchases are not recurring subscriptions and are governed by the terms shown at that point of purchase.

POIZ may suspend paid features for failed payments, chargebacks or suspected payment fraud.

18. Third-party services and links

POIZ integrates third-party services such as payment processing, hosting, storage, email delivery, analytics and automated analysis, and may link to third-party sites, stores or brand content. Those services are governed by their own terms and privacy policies, and POIZ is not responsible for them.

19. POIZ intellectual property

POIZ owns or licenses the POIZ software, design, brand, name, logos and all other material that is not user content. You get a limited, personal, revocable, non-exclusive, non-transferable license to use POIZ for its intended purpose.

You may not copy, modify, translate, reverse engineer, decompile or create derivative works from POIZ software except where the law expressly allows it; scrape, crawl, harvest or bulk-download content or data; use bots or automated access other than through a documented interface POIZ provides; resell or white-label POIZ; or perform security testing, penetration testing or vulnerability scanning without POIZ's prior written permission.

20. Feedback

If you send POIZ suggestions, ideas or feedback, you grant POIZ a perpetual, irrevocable, worldwide, royalty-free license to use it without obligation or compensation to you. Do not send confidential information as feedback.

21. Suspension, termination and what survives

You may stop using POIZ at any time and may request account closure. POIZ may suspend or terminate access for a breach of these terms, a legal requirement, a safety or security risk, prolonged inactivity, or discontinuation of a service, with notice where reasonable and practicable.

Closing an account does not automatically erase everything. POIZ retains records it is legally required to keep or that are needed for tax and financial records, fraud prevention, security, safety and moderation evidence, guardian consent audit records, and the defense of legal claims. Content another user lawfully re-shared, and copies in routine backups, may persist for a period after deletion.

Sections that by their nature should survive — including content licenses already granted, payment obligations, disclaimers, limitation of liability, indemnification and dispute resolution — survive termination.

22. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, POIZ IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

POIZ does not warrant that the service will be uninterrupted, timely, secure or error-free, that content or scores will be accurate, that data will never be lost, or that use of POIZ will produce any particular result, opportunity or outcome.

POIZ is not responsible for user content or for the conduct of any user, studio, teacher, brand or third party, whether on or off the platform.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you. Nothing here removes a right that cannot be waived under applicable law.

23. Limitation of liability (proposed)

PROPOSED CLAUSE — UNDER ATTORNEY REVIEW. To the fullest extent permitted by law, POIZ and its officers, employees and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, lost opportunities or reputational harm, arising out of or relating to POIZ.

To the fullest extent permitted by law, POIZ's total liability for all claims relating to POIZ in any twelve-month period is limited to the greater of the amount you paid POIZ in the twelve months before the event giving rise to the claim, or one hundred United States dollars (US$100).

These limits do not apply to liability that cannot be limited or excluded under applicable law, including gross negligence, recklessness, willful misconduct, fraud or fraudulent misrepresentation, and any non-waivable statutory right. Some jurisdictions do not allow these limits, in which case they apply only to the extent permitted.

24. Indemnification

If you are an adult user, or an organization using POIZ HQ, you agree to indemnify and hold POIZ harmless from third-party claims, losses and reasonable legal costs arising from your breach of these terms, your content, your violation of law or another person's rights, or, for an organization, the operation of your business.

This obligation applies to the fullest extent permitted by law and does not apply where the law prohibits it. POIZ does not seek an indemnity from a minor. A parent or legal guardian is responsible only to the extent applicable law makes a guardian responsible for a minor's acts.

25. Dispute resolution, arbitration and class action waiver (proposed — under attorney review)

PROPOSED CLAUSE — UNDER ATTORNEY REVIEW AND NOT YET EFFECTIVE. PLEASE READ THIS SECTION CAREFULLY. If activated, it would affect how disputes with POIZ are resolved and would require most disputes to be resolved individually rather than in court or as part of a class action.

Informal resolution first. Before starting a formal proceeding, you and POIZ agree to try to resolve the dispute informally by contacting the other through the Support Center and allowing sixty (60) days to reach a resolution.

Individual arbitration. If informal resolution does not succeed, disputes that may lawfully be arbitrated would be resolved by binding individual arbitration under the Federal Arbitration Act, before a nationally recognized arbitration provider that the parties agree on or that is selected under applicable rules. The arbitration would be conducted in English, and by documents, telephone or video where the rules allow, so participation is not unduly burdensome.

Class action waiver. To the fullest extent permitted by law, disputes would be brought only in an individual capacity, and not as a plaintiff or class member in a class, collective, consolidated or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim would proceed in court and the rest of this section would continue to apply to the other claims.

Small claims carve-out. Either party may bring an individual claim in small claims court if it qualifies.

30-day opt-out. You may opt out of arbitration by sending POIZ notice through the Support Center within 30 days of first accepting a version of these terms that contains this section. Opting out does not affect any other part of these terms.

ACTIVATION REQUIREMENT — before this section can be activated, the opt-out channel must produce a durable, timestamped record and confirmation the sender can keep as proof of a timely opt-out, and counsel must finalize the notice method.

Non-waivable rights preserved. Nothing in this section waives a right that cannot be waived under applicable law, including public injunctive relief where California law preserves it, claims that the law says cannot be arbitrated, and any statutory right a consumer or a minor cannot give up. If any part of this section is unenforceable, the remainder continues to apply to the extent permitted.

ACTIVATION REQUIREMENT — the arbitration provider, applicable rules, fee allocation, seat, notice address and legal entity must be finalized by counsel before this section can be activated.

26. Governing law and venue

These terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-laws rules, except where the mandatory law of your place of residence provides otherwise.

For disputes that are not subject to arbitration, the parties intend to submit to the exclusive jurisdiction of the state and federal courts located in California. ACTIVATION REQUIREMENT — the exact county and forum depend on POIZ's legal entity and principal place of business, which are not published here and must be confirmed by counsel before activation.

27. Changes and general terms

Changes. POIZ may update these terms. For material changes, POIZ records a new version with a content hash and asks you to accept it before continuing with sensitive actions; browsing remains available while you decide. Continuing to use POIZ after a change takes effect means you accept it, to the extent permitted by law.

Assignment. You may not assign these terms without POIZ's consent. POIZ may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.

Severability, no waiver, entire agreement. If a provision is unenforceable, the rest stays in effect. A failure to enforce a provision is not a waiver. These terms, with the documents they incorporate, are the entire agreement about POIZ. Headings are for convenience only.

California notice. California Civil Code section 1789.3 gives California users the right to certain provider contact information and to contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs. ACTIVATION REQUIREMENT — the exact operator name and contact details required by that section are not published here and must be supplied by counsel before activation.
